CONTRACTORS

The Trust adopts the standard generic contract below for any formal commitment between a contractor or supplier and the Rye Art Gallery Trust, where goods or services are in excess of £1500. Any variation to this must be endorsed formally by the Trust Board.

RAG - Service Agreement or Supply Contract – Template

1. * heading/title: Rye Art Gallery and Supplier
2. * description/purpose/the service (basically the product/service description)
3. * parties (supplier and Rye Art Gallery Trust – including addresses)
4. * dates
5. Any key definitions – as necessary.
6. term - period of agreement
7. * pricing (refer if appropriate to attached schedule)
8. any pricing adjustments applicable (for example any increases linked to materials)
9. responsibilities of provider - include or append details of services and SLA's (service level agreements)
10. responsibilities of Rye Art Gallery Trust
11. * payment terms
12. confidentiality
13. outline of any dispute and arbitration process and any penalties for supplier failure
14. termination and force majeure
15. renegotiation and renewal
16. prevailing laws and regulations
17. * signatures: for Rye Art Gallery Trust this will be the Chair Trust or nominated Trustee or Gallery Manager.

Notes: Items marked * are the essential or minimum points required in any trading agreements. The level of contractual detail required and 'legal correctness' required increases when services entail financial services, products or services which carry potentially high liabilities (e.g., safety, environmental, financial, etc). As necessary any detailed schedules or protocols are appended, where these details may change over time, but remain subject to the agreement as a whole.
